These terms and conditions (“Terms”) are a contract between you (“User”) and Bdgt-Soft LLC (“Bdgt-Soft”, “We” or “Us”) which applies to your use of this website (“bdgt-soft.com” or “This Site”). By using This Site to access, create, use or acquire any content, data, materials, information, products or services, you agree to be bound by these Terms. 2. Introduction

Bdgt-Soft, through This Site, provides personal daily budget spreadsheet products (“e-z Calendar Budget™” or the “Calendar”), for single-purchase download. For any Calendar edition you choose to purchase and/or download on This Site, you acknowledge that (a) before download, you must read and agree to terms and conditions specific to that edition (reference links below), and (b) after download, you must affirm your agreement on the spreadsheet Terms worksheet.

3. Copyright Ownership

4. Site Use

You agree that your use of This Site is intended for your personal, non-commercial use. You may only use This Site if you can form legally binding contracts under applicable law. By using This Site, you represent and warrant that you are (i) at least eighteen (18) years of age, and (ii) are not a person barred from accessing, using, acquiring, purchasing or receiving This Site under the laws of the United States or other applicable jurisdiction. You agree not to use This Site for any purpose that is unlawful, illegal or forbidden by these Terms, or by any local laws applicable to you. By using This Site, you agree to comply with United States law and to that of your own country, including those laws dealing with technical data export.

access the Material with any manual or automated process for any purpose other than your personal use;
use any device, software or routine that interferes or attempts to interfere with the normal operation of This Site;

Our privacy policy is set forth in the Privacy Policy, and you hereby agree to the terms of this policy and acknowledge that such terms and policies may be changed without specific notice to you.

6. Purchase

For each product download you purchase on This Site, you authorize Bdgt-Soft, through its merchant of record (MoR), Paddle.com, to make a 1-time charge to your designated payment method for the product price, as listed on This Site (plus tax, where applicable). Refunds are provided at the sole discretion of Paddle on a case-by-case basis.

7. Disclaimer of Warranty

You expressly agree that use of This Site is at your sole risk. We make no warranty, and expressly disclaim any obligation, that: (a) This Site will meet your requirements or be uninterrupted, timely, secure, or error-free; (b) the content will be up-to-date, complete, comprehensive, accurate or applicable to your circumstances; (c) the results that may be obtained from the use of This Site or any services offered through it will be accurate or reliable; or (d) the quality of any information, products, services, or other material obtained by you through This Site will meet your expectations.

This Site and all content and services it provides are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and security and accuracy, other than those warranties which are implied by and incapable of exclusion, restriction or modification under the laws applicable to these Terms.

8. Limitation of Liability

Neither Bdgt-Soft nor its officers, directors, employees, agents, representatives, affiliates, providers or licensors shall be responsible or liable for (a) any damages to or viruses that may infect your computer equipment or other property as the result of your access to This Site or downloading its content, or (b) any injury, death, loss, claim, act of god, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind (including without limitation lost profits or lost savings), whether based in contract, tort, strict liability or otherwise, that arise out of or is in any way connected with: (i) any use of or inability to use This Site or its content; or (ii) the performance or non-performance by Bdgt-Soft or any provider, pursuant to applicable law. Bdgt-Soft disclaims any and all liability of any kind for any unauthorized access to or use of your Personal Info. By accessing This Site, you acknowledge and agree to Bdgt-Soft’s disclaimer of any such liability. If you do not agree, you should not access or use This Site.

9. Indemnification

Subject to these Terms, you agree to defend, indemnify and hold Bdgt-Soft and its officers, directors, employees and agents harmless from and against any claim, cause of action, liability, expense, loss or demand, including without limitation reasonable legal and accounting fees, arising out of, or in any way connected with your breach of these Terms or the agreements made part of these Terms by reference, or your use of or access to This Site.

10. Modification & Termination

Bdgt-Soft may modify these Terms, at any time, by posting notice on This Site. Your continued use of This Site following the posting of notice of any modification will be subject to the Terms in effect at the time of your use. Please review these Terms periodically for changes. If you object to any provision of these Terms or any subsequent modifications to these Terms or become dissatisfied with This Site, in any way, your only recourse is to immediately terminate use of This Site. Bdgt-Soft may terminate or suspend these Terms at any time without notice to you. Without limiting the foregoing, Bdgt-Soft shall have the right to immediately terminate your access to This Site in the event of any conduct by you which Bdgt-Soft, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of these Terms. The provisions of Sections 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11 and 12 shall survive termination of these Terms.

11. Copyrights and Copyright Agent

Bdgt-Soft respects the rights of all copyright holders and follows a policy that provides for the removal in appropriate circumstances of users and account holders and who infringe those rights. If you believe that your copyrighted work has been copied without your authorization and is available on This Site in a way that may constitute copyright infringement, please provide Bdgt-Soft’s Copyright Agent the following information required by The Online Copyright Infringement Liability Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
A description of the copyrighted work that you claim has been infringed upon;
A description of where the material that you claim is infringing is located on This Site;
Information reasonably sufficient to permit the service provider to contact the complaining party, such as address, telephone number, and, if available, an e-mail address at which the complaining party may be contacted;

12. Miscellaneous

If a court finds any of these Terms to be unenforceable or invalid, that Term will be enforced to the fullest extent permitted by applicable law and the other Terms shall remain valid and enforceable. These Terms, together with those agreements made a part of these Terms by reference, make up the entire agreement between you and Bdgt-Soft relating to your use of This Site and replace any prior understandings or agreements (whether oral or written) regarding your use of This Site. The laws of the State of Georgia (USA), without regard to its conflict of laws rules, will govern these Terms, as well as your and our observance of them. If you take any legal action relating to your use of This Site or these Terms, you agree to file such action only in the state and federal courts located in Atlanta, Georgia (USA). In any such action or any action we may initiate, the prevailing party will be entitled to recover all legal expenses incurred in connection with the action, including but not limited to costs, both taxable and non-taxable, and reasonable attorney fees. You agree that any disputes, claims and causes of action arising out of or connected with This Site and/or these Terms, will be resolved individually, without resort to any form of class action. You acknowledge that you have read and understood these Terms, and that these Terms have the same force and effect as a signed agreement.
